SMDX Terms of Service & End-User License Agreement

By creating an account, or installing or using the SMDX software ("the Software"), you agree to be bound by the terms below. If you do not agree, do not create an account or use the Software.

1. License Grant

Subject to these terms, you are granted a non-exclusive, non-transferable, revocable license to use the Software to create, edit, sign, and verify documents in the .smdx format.

2. Your Documents and Content

You retain all rights, title, and interest in and to the documents, text, and other content you create with the Software ("Your Content"). We do not claim any ownership over Your Content. Where the Software offers optional collaboration or cloud-sync features, Your Content is transmitted or stored only as required to provide that feature, and only when you choose to enable it.

3. Digital Signatures and Cryptographic Verification

The Software allows you to cryptographically sign documents and to verify the integrity of signed documents using Merkle-tree-based selective disclosure. You acknowledge and agree that:

The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, or that documents created, signed, or verified with the Software will be accepted for any particular legal, regulatory, or business purpose.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising out of or related to your use of the Software, even if advised of the possibility of such damages.

6. Updates

The Software may periodically check for and install updates. Continued use of the Software after an update constitutes acceptance of any revised terms accompanying that update, which will be made available to you at or before the time of update.

7. Termination

These terms are effective until terminated. Your rights terminate automatically, without notice, if you fail to comply with any term here. Upon termination, you must stop using the Software and, where applicable, uninstall it.

8. Governing Law

These terms are governed by the laws applicable in your place of residence, without regard to conflict-of-law principles, except where local law requires otherwise.

9. Entire Agreement

These terms constitute the entire agreement between you and us regarding use of the Software and supersede any prior agreements, whether written or oral, relating to the subject matter herein.
